1. Agreement to Terms

By purchasing, subscribing to, or using services provided by P3 Agency, LLC (“Company,” “we,” “us,” or “our”), you agree to these Terms of Service.

If you do not agree, you may not use our services.

2. Description of Services

P3 Agency provides marketing, website development, automation systems, CRM access, messaging services, and related digital marketing services.

Certain subscription plans may include:

• Website development and hosting
• CRM and automation access
• Business phone numbers
• SMS and voice services
• Reputation management tools
• Google Local Service Ads management

Services may evolve or be modified over time.

3. Subscriptions & Billing

Subscriptions are offered on a:

• Month-to-month basis
• Prepaid commitment (if selected)

All subscriptions are billed in advance and automatically renew until canceled.

Payments are processed securely via Stripe.

4. Usage-Based Charges

Certain services incur usage-based charges, including but not limited to:

• Phone number rental
• SMS and MMS messaging
• Voice call minutes
• Number intelligence services

Clients maintain a digital wallet for rebillable usage. Auto-top-up may occur based on client-selected preferences.

5. Cancellation

You may cancel your subscription at any time.

Cancellation becomes effective at the end of the current billing cycle. No prorated refunds are provided for partial months or unused portions of prepaid terms.

6. Refund Policy

Because our services involve custom configuration, immediate setup, and digital delivery, fees are generally non-refundable once services have begun.

However, P3 Agency may, at its sole discretion, issue partial or full refunds in circumstances where services have not yet been materially delivered.

Usage-based charges are non-refundable.

7. Payment Failures & Suspension

If payment fails, we may attempt multiple retries. If payment remains outstanding, services and platform access may be suspended until payment is resolved.

8. Intellectual Property

Clients retain ownership of their proprietary content and materials provided to us.

P3 Agency retains ownership of its proprietary systems, templates, automation frameworks, processes, and platform configurations.

9. Client Responsibilities

Clients agree to:

• Provide accurate information
• Use services lawfully
• Comply with all applicable marketing, privacy, and communication laws
• Not misuse messaging systems for unlawful or abusive purposes

10. Disclaimer of Warranties

Services are provided “as is” and “as available” without warranties of any kind, express or implied.

We do not guarantee specific marketing results, lead volume, or revenue outcomes.

11. Limitation of Liability

To the maximum extent permitted by law, P3 Agency shall not be liable for indirect, incidental, special, or consequential damages.

Our total liability shall not exceed the amount paid by you in the thirty (30) days preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless P3 Agency from any claims, damages, or liabilities arising from your misuse of services or violation of applicable laws.

13. Force Majeure

We are not liable for delays or failure to perform due to causes beyond our reasonable control, including acts of God, internet outages, third-party service failures, or governmental actions.

14. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising under these Terms shall be resolved in the state or federal courts located in Pinellas County, Florida.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of services after updates constitutes acceptance of the revised Terms.
